Board Code of Conduct
Directors of each BC Winter and BC Summer Games Society will:
  • Represent unconflicted loyalty to the interests of the Society. This accountability supersedes any conflicting loyalty such as that to advocacy or interest groups and membership on other Boards, as well as personal interest of any Director acting as an individual consumer of this society’s services.
  • Avoid any conflict of interest with respect to their fiduciary responsibility. There must be no self-dealing or any conduct of private business or personal services between any Director and the society except as procedurally controlled to assure openness, competitive opportunity and equal access to otherwise “inside” information.
  • Directors will conduct their activities in an ethical and businesslike manner and in accordance with the Standards of Business Conduct Policy and Conflict of Interest Guidelines adopted by the [City Name] [Year] BC Summer/Winter Games Society.
  • Not use their positions to obtain, for themselves or for their family members, employment within the Society. Should a Director be considered for employment, s/he must temporarily withdraw from Board deliberation, voting, and access to applicable Board information.
  • Not attempt to exercise individual authority over the agency except as explicitly set forth in Board policies.
  • Ensure their interactions with the public, press, or other entities are within the limitations of their positions. Directors must be cognizant of the inability of any one Director or group of Directors to speak for the Board or the Society.
  • Make no judgments of the Operations Manager or staff performance except as that performance is assessed against policies and then by the official process.
  • Deal with outside entities or individuals, with clients and staff and with each other in a manner reflecting fair play, ethics and straightforward communication.
  • Fulfill the purpose of society, which is to stage the [YEAR] BC Summer/Winter Games.
  • Operate in accordance with the law and within the parameters of the Agreement for Financial Assistance, the Funding Sources Document, the Protocols, and the structure of the Society as provided by the BC Games Society.
  • Understand the role and purpose of the Board of Directors of the [City Name] [Year] BC Summer/Winter Games Society within the structure provided by the BC Games Society.
  • Act within the established governance model for BC Summer/Winter Games Host Society Boards of Directors.
  • Ensure the Board upholds its responsibility for accountability of the organization and ensure the financial stability of the organization.
  • Act within the parameters of the Society’s articles of incorporation and bylaws.
  • Seek to understand and provide support to the adherence and enforcement of the policies of the Society as developed or provided by the BC Games Society.
  • Act with a duty of loyalty and due diligence.
  • Fulfill individual responsibility to the organization by being prepared, open, and committed to achieve the purpose of the Society.
